COPT Calls Series G Cumulative Redeemable Preferred Shares for Redemption
COLUMBIA, Md.--(BUSINESS WIRE)-- Corporate Office Properties Trust (COPT) (NYSE: OFC), an office real estate investment trust (REIT) that focuses primarily on serving the specialized requirements of U.S. Government and Defense Information Technology tenants, announced that it has called for redemption all of its 2,200,000 outstanding 8% Series G Cumulative Redeemable Preferred Shares (the "Series G Preferred Shares") (NYSE: OFC-PrG), at a price of approximately $25.12 per Series G Preferred Share, which includes accrued and unpaid dividends through the date of redemption (the "Series G Redemption Price").
The redemption date for the Series G Preferred Shares will be August 6, 2012 (the "Redemption Date"). From and after the Redemption Date, dividends on the Series G Preferred Shares shall cease to accrue and holders of the Series G Preferred Shares will have no rights as such holders other than the right to receive the Series G Redemption Price, without interest, upon surrender of the Series G Preferred Shares.
Redeeming the Series G Preferred Shares will result in a third quarter 2012 reduction of $1.8 million to net earnings available to common shareholders for the Series G Preferred Shares’ initial offering costs. The Company anticipates that the $1.8 million reduction will affect the Company's previously announced earnings guidance for the year ending December 31, 2012 by reducing both diluted earnings per share ("EPS") and diluted funds from operations ("FFO") per share by approximately $(0.03), but will have no impact on FFO per share adjusted for comparability.
